As previously disclosed, on October 22, 2023, Hess Corporation (Hess), Chevron Corporation (Chevron) and Yankee Merger Sub Inc., a wholly owned subsidiary of Chevron (Merger Sub), entered into an Agreement and Plan of Merger, pursuant to which, among other things and subject to the terms and conditions therein, Merger Sub will be merged with and into Hess, with Hess surviving the merger as a direct, wholly owned subsidiary of Chevron (such transaction, the Merger).
The Merger is conditioned on, among other things, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the HSR Act). Pursuant to the HSR Act, Hess and Chevron filed notification and report forms with the Department of Justice and the Federal Trade Commission (the FTC).
On December 7, 2023, Hess and Chevron each received a request for additional information and documentary material (collectively, the Second Request) from the FTC. Issuance of the Second Request extends the waiting period imposed by the HSR Act until 30 days after Hess and Chevron have substantially complied with the Second Request, unless the waiting period is terminated earlier by the FTC or the parties otherwise commit to delay closing of the Merger. Hess and Chevron will continue to cooperate fully with the FTC in its review.
