Item 5.   OTHER EVENTS

          Mr. Ernst von Metzsch, former Senior Vice President and Partner of
Wellington Management Company, was elected a director of Amerada Hess
Corporation on January 6, 2003. While affiliated with Wellington, Mr. von
Metzsch also served as Manager of the Vanguard Energy Fund and of the Vanguard
Wellington Fund.
